We use the information we collect to verify your identity and accreditation status, provide access to the platform and its listings, communicate with you about deals, applications, and platform updates, comply with legal obligations, and improve our services. We do not sell, rent, or trade your personal information to third parties for marketing purposes.

All data transmitted through our platform is encrypted using TLS 1.3. Sensitive documents are encrypted at rest using AES-256. Our platform employs row-level security (RLS), role-based access controls, and two-factor authentication requirements. We conduct regular security audits and penetration testing.

We retain your personal information for as long as your account is active or as required by applicable law. You may request deletion of your account and associated data at any time by contacting legal@blackdiamond.group.

By accessing or using the Black Diamond Investment Group platform, you agree to be bound by these Terms of Service. Please read them carefully before creating an account or accessing any content.

The Black Diamond platform is available exclusively to individuals and entities that qualify as "accredited investors" as defined by the U.S. Securities and Exchange Commission under Regulation D, or equivalent standards under applicable law in your jurisdiction. By applying for membership, you represent and warrant that you meet these requirements.

• You may access the platform only for lawful investment purposes and in compliance with all applicable laws
• You may not share your login credentials or grant access to non-members
• You may not reproduce, distribute, or commercially exploit any content from the platform without prior written consent
• All NDA-protected content must be treated with strict confidentiality
• Black Diamond reserves the right to suspend or terminate accounts for violation of these terms

Black Diamond makes no representations or warranties regarding the returns, performance, or suitability of any investment presented on the platform. All investment decisions are the sole responsibility of the investor. Past performance of closed deals is not indicative of future results.

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in Miami, Florida.

All full investment packages, financial details, vendor information, and due diligence materials available on Black Diamond are protected by a Non-Disclosure Agreement (NDA). Signing the NDA is required before accessing this information.

• Full property addresses, seller identities, and off-market details
• Financial models, rent rolls, and NOI/cap rate details
• Due diligence reports, inspections, and third-party assessments
• Pricing guidance, seller motivations, and deal timelines
• Investment packages, deal decks, and supporting documents

Each NDA has a term of 12 months from the date of signing. Confidentiality obligations survive termination of the NDA. Breach of NDA may result in immediate account termination and legal action under applicable law.

NDAs are signed digitally via our integrated e-signature system. The process takes under 2 minutes and your signature is legally binding upon completion. Signed copies are stored in your investor dashboard and emailed to your registered address.

Black Diamond is restricted to accredited investors only. To qualify, applicants must meet at least one of the following criteria under U.S. law or equivalent standards in their home jurisdiction.

• Net worth exceeding $1,000,000, excluding primary residence
• Annual income exceeding $200,000 (or $300,000 with spouse) for the past two years
• Holding a Series 7, 65, or 82 license in good standing
• Status as a "knowledgeable employee" of a private fund

• Entity with total assets exceeding $5,000,000 not formed solely to invest
• Registered investment advisors and broker-dealers
• Banks, insurance companies, investment companies, and business development companies
• Family offices with AUM over $5,000,000

International investors are required to meet the equivalent accreditation standard in their country of residence. Black Diamond reserves the right to request documentation of qualifying status from investors in any jurisdiction.

Nothing on this platform constitutes an offer to sell or a solicitation of an offer to buy any security. Black Diamond is a private investment network that facilitates introductions between property sellers and qualified investors. All transactions are conducted directly between parties.
